1. Acceptance of Terms

By accessing our website or engaging LuckySpike's services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or services.

2. Services

LuckySpike provides digital strategy, e-commerce consulting, growth, and related services as described in individual service agreements. The specific scope, timeline, and deliverables for each engagement are defined in a separate Statement of Work (SOW) or proposal agreed upon by both parties.

3. Payment Terms

Payment terms are outlined in the applicable SOW or invoice. Unless otherwise agreed, invoices are due within 14 days of issuance. Late payments may be subject to a 1.5% monthly interest charge. LuckySpike reserves the right to pause work on any project with outstanding overdue invoices.

4. Intellectual Property

Upon receipt of full payment, LuckySpike assigns to the client all rights to the final deliverables as specified in the SOW. LuckySpike retains the right to display work in its portfolio and use it for promotional purposes unless otherwise agreed in writing. All pre-existing IP, tools, frameworks, and methodologies developed by LuckySpike remain the sole property of LuckySpike.

5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives termination of the agreement. LuckySpike will not disclose client business information to third parties without prior written consent, except as required by law.

6. Client Responsibilities

The client agrees to provide timely feedback, access to necessary systems or materials, and clear communication throughout the engagement. Delays caused by the client may result in project timeline adjustments and additional costs.

7. Limitation of Liability

LuckySpike's total liability for any claim arising out of or related to our services shall not exceed the total fees paid by the client in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost profits or business interruption.

8. Warranties & Disclaimers

LuckySpike warrants that our services will be performed in a professional manner consistent with industry standards. We do not guarantee specific business outcomes, revenue targets, or ranking results, as these depend on factors outside our control.

9. Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, the client is responsible for payment of all work completed to date. LuckySpike may terminate immediately for non-payment or material breach of these terms.

10. Governing Law

These Terms and Conditions are governed by the laws of the State of New Mexico, United States. Any disputes shall be resolved in the courts of Bernalillo County, New Mexico.

11. Changes to Terms

LuckySpike reserves the right to update these terms at any time. Changes will be posted on this page with a revised date. Continued use of our services after changes constitutes acceptance of the updated terms.
